REAL ESTATE ONLINE AUCTION TERMS & CONDITIONS
IMPORTANT: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE BIDDING.
By registering for and/or placing a bid in this real estate auction, each bidder acknowledges that they have read, understood and agreed to these Real Estate Online Auction Terms & Conditions.
These terms apply specifically to the auction of real property and, where applicable, supplement the general online auction terms of Sunrise Estate Services Ltd. (“Sunrise”). In the event of a conflict, these Real Estate Online Auction Terms & Conditions shall govern with respect to the auction process. The subsequent purchase and sale of the Property will be governed by the executed Offer to Purchase/Purchase Contract.
1. ROLE OF SUNRISE ESTATE SERVICES
Sunrise Estate Services Ltd. is conducting the online auction process for the Property.
The Property is listed for sale through a licensed Alberta real estate brokerage and Realtor. The Realtor and brokerage are responsible for the real estate transaction, including preparation and presentation of the Offer to Purchase/Purchase Contract, handling of the real estate deposit as applicable, and completion of the transaction in accordance with Alberta real estate requirements.
Unless specifically disclosed otherwise, Sunrise is not acting as the buyer’s real estate representative and does not provide legal, financial, mortgage, property inspection or other professional advice to bidders.
2. PROPERTY OFFERED
The real property being offered will be identified in the auction listing by municipal address and/or legal description.
Any photographs, descriptions, measurements, square footage, acreage, maps, assessments, tax information or other information provided in the auction listing are provided for informational purposes only.
Bidders are responsible for independently verifying all information that they consider material to their decision to purchase the Property.
3. BIDDER REGISTRATION
All bidders must register through the Sunrise online auction platform before bidding.
Sunrise may require a bidder to provide:
Full legal name;
Address;
Telephone number and email address;
Government-issued identification;
Proof of funds or financing;
Credit card information;
A refundable bidding deposit; and/or
Any other information Sunrise or the Realtor reasonably requires to verify the bidder’s identity and ability to complete the transaction.
Sunrise reserves the right to approve, reject, suspend or revoke bidder registration at its discretion where reasonably necessary to protect the integrity of the auction.
4. AUTHORITY TO BID
A person placing a bid represents that they have the legal capacity and authority to enter into the transaction.
Where a bidder is bidding on behalf of a corporation, partnership, trust, estate or another person, the bidder represents that they have full legal authority to do so and may be required to provide documentation confirming that authority.
5. BIDDING PROCESS
All bids are placed through the Sunrise online auction platform.
Bidders are responsible for ensuring that they understand how the online bidding system operates before placing a bid.
A bid submitted through a bidder’s account will be considered to have been authorized by that bidder.
Bidders are responsible for maintaining the confidentiality and security of their account information.
6. IRREVOCABLE BIDS
Bids cannot be retracted or cancelled simply because a bidder has changed their mind, made an error in judgment, was unable to obtain financing, or subsequently discovered information that could have been investigated before bidding.
Bidders should carefully review their bid before submitting it.
7. RESERVE PRICE
The auction listing will identify whether the Property is being offered with reserve or without reserve.
Where the Property is offered with reserve, the Property will not be considered to have met the auction requirements unless the highest bid meets or exceeds the reserve price.
If the reserve is not met, the Seller may elect to negotiate with the highest bidder or any other interested party following the auction, subject to the Realtor’s and brokerage’s requirements.
Where the Property is expressly advertised as unreserved, no reserve price will apply.
8. ONLINE AUCTION CLOSING
The auction is scheduled to close at the date and time stated in the auction listing.
Sunrise may use an automatic bid-extension or “soft close” system. Where a bid is received within the specified extension period, the closing time may automatically extend to allow other bidders an opportunity to respond.
The auction will continue until the applicable bidding period expires without a further qualifying bid.
9. TECHNICAL ISSUES
Sunrise is not responsible for a bidder’s internet connection, computer, mobile device, browser, email notifications or other equipment.
In the event of a material technical malfunction affecting the auction platform or the integrity of the auction, Sunrise reserves the right to pause, extend, reopen or reschedule the auction or take other reasonable action necessary to ensure a fair auction process.
10. HIGHEST BIDDER
At the conclusion of the auction, Sunrise will identify the highest qualifying bidder.
Being identified as the highest bidder does not, by itself, constitute an executed contract for the purchase and sale of the Property.
The highest bidder will be required to immediately proceed through the Seller’s Realtor and licensed real estate brokerage to prepare and execute an Offer to Purchase/Purchase Contract based upon the auction results and the terms disclosed for the Property.
The amount of the highest accepted auction bid will form the basis of the purchase price stated in the Offer to Purchase, subject to any disclosed Buyer’s Premium and the structure specified in the auction listing.
11. REQUIREMENT TO SUBMIT OFFER TO PURCHASE
The highest bidder must cooperate promptly with the Realtor following the close of the auction and must execute and submit the required Offer to Purchase/Purchase Contract within the timeframe stated in the auction listing.
Unless otherwise stated, the highest bidder will be expected to execute the Offer to Purchase immediately following the auction or within the timeframe specified by Sunrise and the Realtor.
Failure or refusal by the highest bidder to submit the required Offer to Purchase may constitute bidder default under these Terms.
12. SELLER ACCEPTANCE
Where the auction is subject to reserve or Seller approval, the highest bid does not necessarily constitute acceptance by the Seller.
The Seller’s legal obligation to sell the Property will be determined by the terms of the Offer to Purchase/Purchase Contract executed through the licensed real estate brokerage.
Nothing in these auction terms should be interpreted as overriding the terms of the subsequently executed real estate purchase contract.
13. ADMINISTRATION FEE
An Administration Fee of $750 will be charged in connection with the auction transaction.
The auction listing will clearly identify how the Administration Fee is calculated and whether it is:
added to the highest auction bid to establish the purchase price contained in the Offer to Purchase; or
payable separately to Sunrise in addition to the real estate purchase price.
Bidders are responsible for understanding the total financial obligation before bidding.
14. REAL ESTATE DEPOSIT
The successful bidder will be required to provide the real estate deposit specified in the auction listing and/or Offer to Purchase.
The deposit will be paid to and held in trust by the licensed real estate brokerage or other party designated in the Offer to Purchase.
The real estate deposit is separate from any Buyer’s Premium payable to Sunrise unless expressly stated otherwise.
15. FINANCING
The auction is not conditional upon the successful bidder obtaining financing unless the auction listing and subsequent Offer to Purchase expressly provide otherwise.
Bidders are strongly encouraged to arrange financing and satisfy themselves of their financial ability to complete the transaction before bidding.
A bidder’s inability to obtain financing after the auction does not automatically relieve the bidder of obligations arising from the auction or an executed Offer to Purchase.
16. PROPERTY INSPECTION AND DUE DILIGENCE
Bidders are encouraged to complete all inspections and investigations they consider necessary before bidding.
This may include, without limitation:
Property inspection;
Building inspection;
Review of title;
Real Property Report and compliance;
Zoning and permitted use;
Development and building permits;
Property taxes;
Utilities;
Well and septic systems;
Environmental matters;
Condominium documents, where applicable;
Tenancies or leases;
Encumbrances;
Measurements and boundaries;
Financing;
Insurance availability; and
Independent legal advice.
Unless expressly provided otherwise in the auction listing or Offer to Purchase, bidders should not assume that they will be permitted to make the purchase conditional upon inspections or other due diligence after the auction.
17. AS IS, WHERE IS
The Property is offered on an “AS IS, WHERE IS” basis as of the date of possession, subject to the representations and obligations, if any, contained in the executed Offer to Purchase.
Bidders are responsible for satisfying themselves regarding the condition, quality, suitability and permitted use of the Property before bidding.
Neither Sunrise nor the Seller makes any representation or warranty concerning the Property except as expressly provided in writing.
18. PROPERTY INFORMATION
Sunrise and the Realtor may provide information supplied by the Seller, municipal authorities, assessment records, previous listings or other sources.
While reasonable efforts may be made to provide accurate information, bidders must independently verify information that is important to their purchasing decision.
Errors or omissions in photographs, descriptions, measurements or other auction information will not automatically invalidate a bid.
19. FIXTURES AND CHATTELS
Only fixtures and chattels specifically identified as included in the auction listing and/or Offer to Purchase are included with the Property.
Any disagreement regarding whether an item constitutes a fixture or chattel will ultimately be governed by the executed Offer to Purchase and applicable law.
20. TITLE AND ENCUMBRANCES
Title to the Property will be transferred in accordance with the terms of the Offer to Purchase.
Any permitted encumbrances, registrations, easements, utility rights-of-way, restrictive covenants or other matters affecting title will be addressed through the real estate transaction.
Bidders are encouraged to obtain independent legal advice and review title before bidding.
21. TAXES AND ADJUSTMENTS
Property taxes, rents, utilities and other adjustments will be dealt with as specified in the Offer to Purchase and adjusted as of the applicable closing/possession date.
GST on the sale of the Property, if applicable, will be dealt with in accordance with the Offer to Purchase and applicable Canadian tax law.
GST applicable to Sunrise’s Buyer’s Premium or other auction services will be charged separately where required.
22. CLOSING AND POSSESSION
The closing and possession date will be specified in the auction listing and/or Offer to Purchase.
Unless otherwise stated, bidders should be prepared to complete the transaction on the stated closing date without extension.
Possession will not be provided until completion of the transaction in accordance with the Offer to Purchase.
23. BUYER DEFAULT
If the highest bidder refuses or fails to execute the required Offer to Purchase within the required timeframe, fails to provide the required deposit, or otherwise fails to comply with these auction terms, Sunrise may declare the bidder in default.
Subject to the Seller’s legal rights and the terms of any executed Offer to Purchase, Sunrise and/or the Seller may:
Cancel the bidder’s purchasing privileges;
Retain or pursue any bidding deposit where legally permitted;
Offer the Property to another bidder;
Reopen or re-run the auction;
Pursue damages or costs resulting from the default; and/or
Exercise any other remedies available at law or under the Offer to Purchase.
Once an Offer to Purchase has been executed, any default will be governed primarily by that agreement and applicable Alberta law.
24. SECOND-HIGHEST BIDDER
If the highest bidder fails to complete the required Offer to Purchase or otherwise defaults before a binding purchase contract is established, the Seller may, at their discretion and through their Realtor, negotiate with the next-highest bidder or any other prospective purchaser.
The second-highest bidder has no automatic right to purchase the Property.
25. AUCTIONEER’S AUTHORITY
Sunrise has authority to administer the online bidding process and may resolve bidding disputes, determine the highest qualifying bid, reject bids reasonably believed to be fraudulent or erroneous, and take reasonable steps necessary to preserve the integrity of the auction.
Sunrise’s authority over the auction process does not replace or supersede the authority and responsibilities of the licensed real estate brokerage regarding the real estate transaction.
26. NO COLLUSION OR BID MANIPULATION
Bidders must not engage in collusion, bid suppression, artificial bidding, account sharing or any other activity intended to improperly manipulate the auction.
Sunrise may suspend bidding privileges and reject bids where it reasonably believes fraudulent or improper bidding activity has occurred.
27. BUYER’S PROFESSIONAL ADVICE
Bidders are encouraged to obtain their own independent:
Legal advice;
Real estate advice;
Mortgage/financing advice;
Accounting and tax advice;
Property inspection; and
Other professional advice considered appropriate.
Neither Sunrise nor the Seller’s Realtor represents the bidder unless a separate written representation agreement provides otherwise.
28. RELATIONSHIP BETWEEN AUCTION TERMS AND OFFER TO PURCHASE
These Terms & Conditions govern participation in the online auction and the process used to determine the highest bidder.
The Offer to Purchase/Purchase Contract governs the actual purchase and sale of the real estate once executed.
If there is any inconsistency between these Terms and a fully executed Offer to Purchase regarding the purchase and sale of the Property, the executed Offer to Purchase will govern to the extent of that inconsistency.
29. ACKNOWLEDGEMENT BY BIDDER
By registering and placing a bid, the bidder acknowledges and agrees that:
They have read and accepted these Terms & Conditions;
They understand that they are participating in an auction involving real property;
They have had the opportunity to inspect and investigate the Property before bidding;
They have had the opportunity to obtain independent legal, financial and real estate advice;
They understand the applicable Buyer’s Premium and deposit requirements;
They understand that financing should be arranged before bidding;
They understand that the highest bidder will be required to promptly submit an Offer to Purchase through the Realtor;
They understand that the ultimate purchase and sale will be governed by the executed Offer to Purchase; and
They are bidding with the intention and financial ability to complete the purchase if successful.
30. GOVERNING LAW
These Terms & Conditions and the auction process will be governed by the laws of the Province of Alberta and the applicable laws of Canada.
